1. Acceptance of these Terms

Transfado (the "Service") is operated by Transfado ("Transfado," "we," "us," or "our"). By creating an account, accessing, or using the Service, you ("you," "Merchant," or "User") agree to be bound by these Terms of Service, our Privacy Policy, and our Acceptable Use Policy, which are incorporated by reference. If you do not agree, do not use the Service.

You represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself and any business you represent.

2. The Service

Transfado provides software for accepting payments, creating payment links, billing subscriptions, managing fees, and viewing analytics. We provide the software platform; we are not a bank, and unless and until we expressly state otherwise in writing and complete all required licensing and partnerships, we do not ourselves act as a money transmitter, acquirer, or card-network member. In a live deployment, actual processing and settlement of funds are performed by third-party financial institutions and processors subject to their own terms.

3. Accounts & security

  • You are responsible for all activity under your account and for keeping your password and API keys confidential.
  • You must provide accurate, current information and keep it updated.
  • You must notify us promptly of any unauthorized use or security breach.
  • We may require identity or business verification (KYC/KYB) before enabling certain features.

4. Fees & payouts

Fees applicable to your account are presented in the Service and may be set or adjusted by the platform operator. You authorize us (or our financial partners) to deduct applicable fees from amounts processed. Payouts are sent to the payout method you designate; you are responsible for the accuracy of that information. In sandbox mode, all fees and payouts are simulated.

5. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, including the list of prohibited and restricted businesses and activities. Violation may result in immediate suspension or termination and may be reported to authorities or financial partners.

6. Your obligations as a Merchant

  • Comply with all applicable laws, regulations, and payment-card-network rules.
  • Be solely responsible for your products, services, pricing, refunds, and customer support.
  • Provide clear, accurate disclosures to your customers and obtain any required consents.
  • Be solely responsible for determining, collecting, reporting, and remitting all applicable taxes.
  • Do not store or mishandle cardholder data in violation of PCI DSS or applicable law.

7. Your customers

Your relationship with your own customers is solely between you and them. We are not a party to, and are not responsible for, the sale of your goods or services, your refund decisions, or disputes between you and your customers. You will handle chargebacks, refunds, and customer complaints in accordance with applicable rules.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by the operator and its licensors. You receive a limited, non-exclusive, revocable license to use the Service per these Terms. You retain ownership of your own content and data.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

Not a bank; no insurance. The Service is not a bank account. Simulated balances are not deposits and are not insured by the FDIC or any government agency. We do not provide legal, tax, accounting, or financial advice.

10. Limitation of liability

To the maximum extent permitted by law, in no event will the operator, its owners, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the operator's total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total fees you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless the operator and its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your products, services, or transactions; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right, including your customers' rights.

12. Suspension & termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of these Terms, the Acceptable Use Policy, or applicable law, or to protect the Service, its users, or financial partners. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

13. Governing law & dispute resolution

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Illinois, and you consent to their jurisdiction. To the extent permitted by law, you and the operator waive any right to a jury trial and to participate in a class action. (If you require binding arbitration or a different venue, have your attorney adapt this section.)

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance.
